Terms of Service

These terms are a contract between you and Radwanium Ltd ("Ledgers", "we", "us") for your use of the Ledgers platform at ledgers.work.

By creating an account, ticking the agreement box, or using the service you accept these terms. If you are agreeing on behalf of a company, you confirm you have authority to bind it. If you do not agree, do not use the service.

1. The service

Ledgers is AI-assisted bookkeeping and accounting software for UK small businesses. It ingests your financial data, proposes categorisations and journal entries, prepares reports and helps with statutory tasks. You remain responsible for your books, your filings and the decisions you approve. See our Disclaimer.

2. Accounts & eligibility

  • You must be at least 18 and able to enter a contract.
  • We use passwordless sign-in (magic links). Keep access to your inbox secure — anyone with it can access your account.
  • You are responsible for activity under your account and for your team members' use.

3. Plans, fees & billing

  • Paid plans are billed in advance per the pricing shown at sign-up or on our pricing page. Usage over your plan's included volume is charged per the stated overage rate.
  • Fees are exclusive of VAT unless stated. Card payments are processed by our payment provider; we do not store full card numbers.
  • Plans renew automatically until cancelled. You can cancel anytime, effective at the end of the current billing period.
  • Except where required by law (including the Consumer Contracts Regulations where they apply), fees already paid are non-refundable.

4. Your data & content

You retain all rights to the data you put into Ledgers ("Your Content"). You grant us a licence to host, process and display it solely to provide the service. Where we process personal data on your behalf, the Data Processing Agreement applies and forms part of these terms. Our handling of personal data is described in the Privacy Policy.

5. AI-generated output

Categorisations, journal entries, narratives and answers are generated with the assistance of AI models and may be incomplete or wrong. They are decision support, not advice. You must review and approve material entries before relying on them. We are not your accountant, tax adviser or auditor.

6. Acceptable use

You must use Ledgers lawfully and in line with our Acceptable Use Policy. We may suspend accounts that breach it or that put the platform or other customers at risk.

7. Third-party connections

Ledgers connects to third-party services you choose to enable (e.g. open-banking feeds, payment providers, document storage, government APIs). Your use of those services is governed by their own terms, and we are not responsible for them.

8. Intellectual property

The platform, its software, design and content (excluding Your Content) belong to us or our licensors. We grant you a non-exclusive, non-transferable right to use the service during your subscription. You may not copy, resell, reverse-engineer or build a competing product from it.

9. Availability & support

We aim for high availability but do not guarantee the service will be uninterrupted or error-free. We may change, suspend or discontinue features. Planned maintenance and material changes will be communicated where reasonably practicable.

10. Warranties & disclaimers

The service is provided “as is” and “as available”. To the maximum extent permitted by law, we exclude all implied warranties (including fitness for a particular purpose and accuracy of AI output). Nothing in these terms excludes liability that cannot be excluded under law.

11. Limitation of liability

We are not liable for indirect or consequential loss, loss of profit, loss of data, or for tax interest/penalties arising from figures you reviewed and approved. Subject to the paragraph above, our total aggregate liability in any 12-month period is limited to the fees you paid us in that period (or £100 if you are on a free plan).

12. Indemnity

You will indemnify us against claims arising from Your Content or your breach of these terms, your unlawful use, or your infringement of a third party's rights.

13. Termination

You may stop using the service and close your account at any time. We may suspend or terminate access for material breach. On termination you can export Your Content for 30 days, after which we may delete it per our retention schedule (see the Privacy Policy).

14. Changes to these terms

We may update these terms. Material changes will be notified in-app or by email before they take effect. Continued use after the effective date means you accept the updated terms.

15. Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without affecting any mandatory consumer rights you may have where you live.
